Welcome to BookSmart Global Publishing. By engaging our services, you (“the Author” or “Client”) agree to be bound by the following terms and conditions. Please read them carefully before proceeding.
1. Services Offered
BookSmart Global Publishing provides professional publishing services including, but not limited to: Proofreading & Editing, Research & Content Generation, Transcribing & Ghostwriting, Translation (multiple languages), Cover Design & Interior Layout, Audiobook Packaging, ISBN Assignment, E‑book Publishing (ePub, MOBI, PDF), Biography & Legacy Projects, Promotional Materials, Book Printing (softcover, hardcover). All services are non‑exclusive and do not constitute a long‑term publishing contract or agency representation unless otherwise agreed in writing.
2. Ownership and Copyright
2.1 Author Retains Full Ownership
You retain 100% ownership of your intellectual property at all times. We claim no ownership over your content, aside from the limited permissions necessary to carry out the services you have selected.
2.2 Author Warranties
By submitting a manuscript or any content to us, you warrant that:
- The work is your original creation and does not infringe any third‑party copyright.
- You have obtained all necessary permissions for any third‑party material included (e.g., quotes, images, song lyrics).
- The work does not contain libelous, defamatory, obscene, or unlawful material.
2.3 Indemnification
You agree to indemnify and hold BookSmart Global Publishing harmless against any claims, damages, or expenses arising from a breach of the above warranties.
3. Payment Terms
3.1 Fees
All service fees are clearly outlined in your chosen publishing package or custom proposal. Fees are quoted in [Nigerian Naira / USD / specify currency] and are exclusive of any applicable taxes or bank charges.
3.2 Payment Options
We offer flexible billing options:
- Full payment upfront (discount may apply)
- Milestone‑based payment plan (50% deposit required, followed by milestone payments).
3.3 Non‑Refundable Payments
Payments for approved and completed milestones are non‑refundable. Once we have commenced work on a specific phase (e.g., editing, design), that portion of the fee is earned and will not be refunded.
3.4 Late Payments
If payment is not received within 14 days of the due date, we reserve the right to suspend all work until the outstanding amount is cleared.
4. Manuscript Submission & Approval
4.1 Submission
You agree to provide your final manuscript files in a usable format (e.g., Microsoft Word, Google Docs, PDF). We are not responsible for delays caused by incomplete or improperly formatted submissions.
4.2 Approval Process
Before moving to distribution or printing, you will have the opportunity to review and approve final proofs of your interior layout and cover design. Once you provide written approval, no further changes can be made without additional fees.
4.3 Revisions
Each service package includes a specified number of revision rounds. Additional revisions beyond this may incur extra charges.
5. Distribution & Royalties
5.1 Distribution Setup
If requested, we will assist in setting up your book for sale on platforms such as Amazon KDP, Apple Books, Kobo, and other online retailers. These accounts are created in your name, and you retain full control over them.
5.2 Royalties
You receive 100% of all royalties from your book sales, as determined by the terms of each distribution platform. We do not take any commission or ongoing percentage of your sales.
5.3 No Guarantee of Sales
While we provide professional publishing and promotional support, we cannot guarantee specific sales results. Market outcomes depend on various factors including audience engagement, marketing effort, and competition.
6. Turnaround Times
Estimated timelines for each service are provided in your package or proposal. Actual delivery times may vary depending on:
- Complexity of the project
- Your responsiveness to requests for feedback or approvals
- The need for additional revisions
We commit to clear communication and working efficiently within reasonable industry timeframes
7. Cancellation & Termination
7.1 By Either Party
Either party may cancel the agreement at any time before all milestones are completed. Cancellation must be provided in writing via email.
7.2 Effect of Termination
Upon termination:
- Any work already completed will remain billable.
- Payments for completed milestones are non‑refundable.
- You will receive all completed deliverables (e.g., edited manuscript, cover design) upon full payment of outstanding fees.
7.3 By BookSmart Global Publishing
We reserve the right to terminate the agreement immediately if:
- You breach any warranty (e.g., plagiarism, unlawful content)
- You fail to make timely payments
- We reasonably believe continuing the relationship would expose us to legal or reputational risk
8. Confidentiality
We take your privacy seriously. All manuscripts, drafts, personal information, and other materials you submit are treated as strictly confidential. We will never share, distribute, or disclose your work without your express written permission, except as required by law.
9. Limitation of Liability
To the fullest extent permitted by law:
- BookSmart Global Publishing shall not be liable for indirect, incidental, or consequential damages arising from the use of our services or the publication of your book.
- Our total liability to you for any claim arising out of or relating to these terms shall be limited to the total amount you have paid us for the specific services in question.
We provide our services “as is” without warranties of merchantability or fitness for a particular purpose, except as expressly stated in these terms.
10. Governing Law & Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from these terms or your engagement with us shall be subject to the exclusive jurisdiction of the courts in Lagos, Nigeria.
11. Amendments to Terms
We may revise these Terms and Conditions from time to time to reflect changes in our services, legal requirements, or business practices. The latest version will always be posted on our website, with the effective date clearly indicated. Continued use of our services after any changes constitutes acceptance of the updated terms.
12. Entire Agreement
These Terms and Conditions, together with any signed proposal or package agreement, constitute the entire understanding between you and BookSmart Global Publishing. They supersede all prior communications, whether written or oral.
